These terms are a contract between you and Prompt One LLC ("Prompt One," "we," "us"), the maker of Greenwick, covering the Greenwick desktop application, the greenwick.app website, and related services (together, "Greenwick"). By installing or using Greenwick you agree to them. If you don't agree, don't use Greenwick.

1. What Greenwick is — and is not

Greenwick is desktop software: an analysis and trading-automation tool that runs on your computer, connects to your own brokerage account and your own AI provider using credentials you supply, and operates within limits you configure.

Greenwick is not a broker-dealer, investment adviser, financial planner, or fiduciary, and nothing it produces — analyses, scores, proposals, reports, or chat responses — is investment advice or a recommendation tailored to you. Prompt One never holds, transmits, or has access to your funds or securities. All orders execute in your own brokerage account under your broker's terms. You are solely responsible for your trading decisions, including decisions you delegate to automation you enabled. Please read the risk disclosure; it is part of these terms.

2. Your license

With an active trial, beta license, or subscription, we grant you a personal, non-exclusive, non-transferable license to install and use Greenwick on machines you control, up to the activation limit of your license (currently two concurrent activations, with self-serve deactivation to move machines). You may not resell, rent, or share your license or license key; use Greenwick to provide advisory services to others; copy, modify, or create derivative works of the software except as allowed by law; or work around license enforcement or safety features.

3. Trials and beta

New installs include a free trial (currently 14 U.S. market days of full functionality; the in-app counter is authoritative). Beta licenses are free, personal, provided for testing, and expire when the beta program ends. Beta software may contain defects; the disclaimers in section 8 apply with extra force during a beta.

4. Subscriptions, billing, and cancellation

Paid tiers are subscriptions billed monthly or yearly through our payment processor. Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation stops future billing and your tier remains active through the period you already paid for. Because the free trial is the evaluation window, payments are not refundable, except for billing errors, duplicate charges, or where a refund is required by law — details in billing & cancellation, which is part of these terms. We may change prices with advance notice; changes take effect at your next renewal, and promotional pricing you locked in is honored per its stated terms.

When a trial or subscription lapses, Greenwick becomes read-only for new activity. Safety features — safety exits, reconciliation, and the kill switch — remain active for positions Greenwick opened, your data remains readable and exportable, and security updates continue to install.

5. Your responsibilities

You agree to: (a) use your own brokerage, AI, and data accounts, keeping to their terms; (b) keep your credentials and license key secure; (c) review and understand any automation before enabling it, and monitor it while it runs — Greenwick provides controls (approvals, guardrails, STOP) and you are responsible for using them; (d) use Greenwick lawfully, including all securities laws and market rules; and (e) not use Greenwick for market manipulation or any activity prohibited by your broker or applicable regulation.

6. Third-party services

Greenwick connects to services you choose — your broker, AI providers, market-data vendors, search providers. Those relationships are yours: their availability, accuracy, fees, and conduct are governed by their terms, not ours, and we're not responsible for them. If a third-party service changes or breaks its interface, we'll work to adapt, but continuous compatibility isn't guaranteed.

7. Intellectual property

Greenwick, its design, and its content are owned by Prompt One LLC and protected by law. Your data — your database, journal, notes, and exports — is yours. Open-source components are used under their own licenses, acknowledged in the app.

8. Disclaimers

GREENWICK IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THAT: AI OUTPUT CAN BE WRONG, INCOMPLETE, OR OUT OF DATE, AND CAN BE WRONG CONFIDENTLY; MARKET DATA CAN BE DELAYED OR INACCURATE; SOFTWARE CAN HAVE DEFECTS; AND CONNECTIVITY CAN FAIL. WE DO NOT WARRANT THAT GREENWICK WILL BE ERROR-FREE OR UNINTERRUPTED, AND WE MAKE NO PROMISE OF TRADING RESULTS OR PROFITABILITY OF ANY KIND.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: PROMPT ONE LLC IS NOT LIABLE FOR TRADING LOSSES, LOST PROFITS, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO GREENWICK, EVEN IF ADVISED OF THE POSSIBILITY; AND OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US FOR GREENWICK IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions don't allow certain limitations; where a limitation isn't allowed, it applies to the fullest extent permitted.

10. Termination

You can stop using Greenwick at any time; deleting the app and its data folder removes it entirely. We may suspend or terminate a license for material breach of these terms (for example, license sharing or circumvention). Sections that by their nature should survive — including 1, 7, 8, 9, and 12 — survive termination.

11. Changes

We may update these terms as Greenwick evolves. Material changes will be announced in the app or by email before they take effect, with the "last updated" date above always current. Continuing to use Greenwick after a change takes effect means you accept it.

12. Governing law and disputes

These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Before any formal dispute, you agree to contact us at support@greenwick.app and give us 30 days to work it out — most things are a misunderstanding or a bug, and we fix both. Any dispute that can't be resolved informally will be brought in the state or federal courts of Texas.
